Terms of Service

By accessing or using the Hathion platform ("Service"), operated by Aktelo India Priviate Limited ("Hathion," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

You must be at least 18 years old or the age of majority in your jurisdiction to use the Service.

Hathion is an AI-powered music and video production platform. It orchestrates third-party AI services to generate songs, lyrics videos, music videos, and other content based on user inputs. Hathion does not independently curate or editorially control the AI-generated output.

You must create an account to use the Service. You are responsible for maintaining the security of your credentials. Each person may maintain only one account. We reserve the right to suspend or terminate accounts at our discretion for violation of these Terms.

You retain ownership of the content you provide to the Service, including prompts, lyrics, ideas, images, and audio files ("User Content"). By submitting User Content, you represent and warrant that you have all necessary rights to such content.

You grant Hathion a non-exclusive, worldwide, royalty-free license to process, store, and transmit your User Content solely for the purpose of providing and improving the Service.

Content generated by the Service ("Output") is produced by third-party AI models and is provided "as is." Hathion makes no warranty that Output is original, non-infringing, accurate, or fit for any particular purpose.

Output may resemble existing works, including copyrighted music, images, or text. You are solely responsible for reviewing all Output before use or distribution.

Before publishing or distributing any content generated through the Service, you represent and warrant that you have:

• Reviewed the content for accuracy and appropriateness
• Ensured you own or have licensed all necessary rights to the content
• Complied with the terms of service of the destination platform (YouTube, TikTok, Instagram, etc.), including any AI-disclosure requirements
• Verified the content does not infringe any intellectual property, publicity, or privacy rights
• Confirmed the content is not unlawful or harmful
• Obtained consent for any voices, likenesses, or personal information included in the content

Hathion uploads content to third-party platforms on your behalf at your direction. You bear full responsibility for all content you choose to publish.

You may not use the Service to:

• Generate, store, or distribute child sexual abuse material (CSAM) — zero tolerance
• Create non-consensual intimate imagery of any person
• Generate deepfakes or deceptive impersonations of real individuals
• Produce hate speech, threats, or harassment
• Engage in fraud, scams, or deception
• Distribute malware or engage in unauthorized access
• Scrape, crawl, or reverse-engineer the Service
• Resell or sublicense access to the Service without authorization

The Service integrates with third-party AI providers and platforms, including but not limited to OpenAI, ElevenLabs, Replicate, MiniMax, Suno, Google (YouTube), TikTok, and Meta (Instagram). Your use of the Service may be subject to the terms and policies of these providers.

Hathion is not responsible for outages, changes, or enforcement actions by third-party providers that may affect the Service or your content.

The Service, including its code, user interface, and system templates, is the intellectual property of Hathion. Nothing in these Terms grants you rights to Hathion's intellectual property beyond the license to use the Service.

If you believe content on the Service infringes your copyright, please contact our DMCA agent at coach@aktelo.com. We maintain a repeat-infringer policy and will terminate accounts of repeat infringers.

The Service operates on a pay-as-you-go credit system. Credits are non-refundable once purchased. Pricing may change with reasonable notice. Unused credits do not expire unless your account is terminated for cause.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HATHION'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

IN NO EVENT SHALL HATHION BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.

You agree to indemnify, defend, and hold harmless Hathion and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your content, your distribution of content, or your violation of these Terms or any third-party rights.

Either party may terminate these Terms at any time. Hathion may immediately suspend or terminate your access for violation of these Terms. Sections 5 through 13 survive termination.

These Terms are governed by the laws of Inida. Any disputes shall be resolved through binding individual arbitration in Tamilnadu, except where prohibited by law. You agree to waive any right to participate in a class action or class-wide arbitration.

We may update these Terms from time to time. Material changes will be communicated via email or a notice on the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

These Terms constitute the entire agreement between you and Hathion regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Hathion's failure to enforce any right does not constitute a waiver. Hathion may assign these Terms; you may not without our consent. Notices may be provided via email or the Service.
